Maureen Flannery Guinan is an experienced real estate, business and municipal attorney, working over the past 16 years with businesses large and small, cities, quasi-public entities, and individuals in several states. Maureen's real estate practice includes acquisition, consolidation and disposition of property, finance on lender and borrower side, entitlement of real estate projects for both applicants and municipalities, and formation of owners' associations.
Maureen has been counsel to a wide range of lenders and developers and completed numerous of loan transactions and commercial loan modifications. Maureen has successfully negotiated, implemented and interpreted governmental contracts, rights and conditions, both with and on behalf of governmental entities, including public housing, educational and municipal.
In addition to graduating in the top third of her class, Maureen was honored with an American Jurisprudence award in Advanced Real Estate Transactions and in Legal Writing.
NOTABLE ENGAGEMENTS
Maureen's private engagements include:
- Represented a publically held real estate company in the acquisition, entitlement and development of multiple subdivisions.
- Regularly represent private individuals and companies in the acquisition, development, entitlement, subdivision and disposition of real estate and businesses, assisting with business entity formation, land use, financing and contractual matters.
- Represented numerous banks in negotiating, making, administering and enforcing loans secured by real estate and a wide variety of other types of collateral, with a recent emphasis on foreclosing on real estate in multiple jurisdictions, performing due diligence, providing counsel regarding partially completed development projects, confirming entitlements and remarketing of the property. Also represent borrowers on the other side of the transaction in an effort to workout financing and/or mitigate loss.
- Represented a publically held forest products company in: negotiation of agreements and compliance memoranda for resolution of environmental compliance matters, with federal, state and local regulators; drafting policy and position papers for lobbying efforts; drafting supply chain contracts for recycled products.
In her capacity as General Counsel to cities and towns, a public housing authority, school districts, utility districts, Maureen has handled a broad range of legal matters:
- Provided counsel to form, and drafted implementing resolutions, agreements, bylaws and policies to implement, a joint city-county housing authority involving one county and, over time, ten cities and towns.
- Formed an affiliated 501(c)(3) qualified nonprofit housing development entity and served as general counsel in all business and real estate matters, including assisting in the finance, development, entitlement, construction and sale of two first-time home buyer projects. Such projects involved assisting the entity obtain public and private finance, counsel and drafting of numerous documents, including purchase, construction and sale documents, homeowners' association governance documents, homeownership counseling resources, policy materials, and covenants governing acquisition, ownership, occupancy and resale of homes.
- Represented the authority in the conceptualizing, structure, finance and development of an innovative farmworker housing project that combines both seasonal and year-round units in a single community.
- Represented the authority in the negotiation, acquisition, rehabilitation and leasing of several multifamily projects, including assistance with multimillion dollar bond financing, and conversion to housing for low income, elderly and/or disabled.
- Provided day to day counsel in all legal matters, including operational, policy, governance, employment and client and student services, including landlord tenant and property maintenance issues, Section 8 programs, disposition of property, and collective bargaining and grievance.
- Assisted in developing standard form agreements and policies for all real estate projects, employment matters and general operations.
- Provided counsel in constitutional matters such as use of public facilities by religious entities, freedom of expression by employees and students, and use and disposition of public funds and assets.
- Represented all entities in employment matters, drafting and interpreting policy, implementing regulations, and represented school districts in labor arbitration as well as negotiation and interpretation of collective bargaining agreements.
- Represented special education administration in defense of parental challenges and determination of free and appropriate education for special needs students.
